Law on Obligations - The Basics

Think of obligations as legally binding promises that courts can actually enforce. Every obligation involves three key things: someone who owes something (the debtor/obligor), someone who's owed something (the creditor/obligee), and the actual thing that's owed.

Obligations come from five main sources. Contracts are the most common - like when you agree to buy something online. Laws create obligations too, like paying taxes. Then there are quasi-contracts (think accidentally receiving someone else's money), crimes (you damage someone's property), and quasi-delicts (you hurt someone through carelessness).

When you owe someone a specific thing, like returning a borrowed laptop, that's an obligation to give. If it's destroyed through your fault, you'll pay damages plus the value. Consent and Contract Problems

Consent requires a genuine meeting of minds through offer and acceptance. Advertisements usually aren't offers - they're invitations to make offers. The Philippines uses the cognition theory, meaning acceptance takes effect when the offeror learns about it.

Some people can't give valid consent: minors (unless emancipated), insane people (except during lucid intervals), deaf-mutes who can't read/write, drunk people, and those under hypnosis or civil interdiction.

Defective Contracts

Not all contracts are created equal - some have defects that affect their validity. Rescissible contracts can be undone due to lesion (unfairness) - like when guardians sell minors' property too cheaply or representatives cheat absentees.

Voidable contracts have defective consent. If you were a minor or victim of fraud/intimidation when signing, you can annul the contract within 4 years of the defect ending. Only the injured party can seek annulment.

Unenforceable contracts exist but can't be enforced until ratified. The Statute of Frauds (remember SALSAR) requires certain contracts in writing: surety agreements, contracts not performable within one year, land leases/sales, sales of goods over ₱500, marriage agreements, and credit representations.

Void contracts never existed legally and can't be fixed. They include agreements against law/morals, impossible services, and absolutely simulated contracts. Anyone can challenge void contracts anytime.

Sales Contract Basics

Sales contracts involve transferring ownership of specific things for money. They're principal (stand alone), onerous (for valuable consideration), bilateral (both parties have duties), commutative (equal exchanges), consensual (perfected by agreement), and nominate (specifically defined by law).

Like all contracts, sales need consent, object, and price. The object must be legal and transferable. Price must be certain - fixed by agreement, reference to other things, court decision, or third party designation.

Distinguish sales from barter (property for property) and contracts for work (specially manufactured items). In mixed exchanges, compare values - if money exceeds property value, it's a sale.

Natural elements are automatically included unless excluded: warranties against eviction (losing the property to someone with better rights), hidden defects (undisclosed problems), unregistered encumbrances, and merchantability (reasonable quality).

Smart Tip: Always clarify whether you're buying existing items (sale) or commissioning custom work (contract for work) - different rules apply!

Seller's Obligations and Delivery

Sellers must deliver the object, warrant it, transfer ownership, and take proper care until delivery. Delivery can be actual (physical handover) or constructive (through legal formalities, symbolic acts, or document transfers).

Warranties protect buyers in two ways. Express warranties come from specific promises. Implied warranties are automatic: protection against eviction (unless waived), hidden defects (especially in animals), merchantability (reasonable quality), and fitness for purpose (if specified).

For animal sales, special rules apply. Contagious diseases void the sale completely. Other diseases void sales only if animals die within 3 days from pre-existing conditions. Buyers get 40 days to choose between canceling the sale or reducing the price for defective animals.

Delivery obligations depend on agreements. If more is delivered than agreed, buyers can accept all, accept only what's stipulated, or accept all while paying proportional prices. If less is delivered, buyers can generally reject partial delivery unless stipulated otherwise.

Buyer Beware: Warranties don't apply to animals bought at public auctions, fairs, or livestock sales - inspect carefully before buying!

Buyer's Obligations and Special Sales

Buyers must pay the agreed price according to the terms. Installment sales have special protections depending on whether you're buying personal or real property.

The Recto Law governs personal property installments. If you default on one installment, sellers can only demand full payment. Default on two or more gives sellers three choices: demand payment (losing foreclosure rights), cancel and return everything, or foreclose the mortgage.

The Maceda Law protects residential real estate buyers. You get grace periods (60 days if paying less than 2 years, one month per year if longer) and refund rights if sellers cancel (50% after 2 years, plus 5% yearly, maximum 90%).

Redemption rights let original owners buy back property. Conventional redemption (pacto de retro) allows repurchase within agreed periods (maximum 10 years). Legal redemption gives co-owners and adjacent landowners priority purchase rights.

Unpaid Sellers and Final Provisions

Unpaid sellers get special rights when buyers don't pay or become insolvent. Stoppage in transit lets sellers reclaim goods while they're still with carriers. Possessory lien means keeping goods until payment. Right of resale applies to perishable goods or when expressly reserved.

Documents of title like warehouse receipts and bills of lading represent ownership of goods. Negotiable versions can be assigned to others, while non-negotiable ones can't. These documents make trading goods easier without physical delivery.

Different sale types serve different purposes. Sale or return transfers ownership immediately, letting buyers return unsold items. Sale on trial only transfers ownership when buyers approve or keep goods without rejecting them.

Understanding when goods are "in transit" matters for unpaid sellers' rights. Transit ends when buyers get delivery, carriers acknowledge holding goods for buyers, or carriers wrongfully refuse delivery.

Sales contracts involve transferring ownership of specific things for money. They're principal (stand alone), onerous (for valuable consideration), bilateral (both parties have duties), commutative (equal exchanges), consensual (perfected by agreement), and nominate (specifically defined by law).

Like all contracts, sales need consent, object, and price. The object must be legal and transferable. Price must be certain - fixed by agreement, reference to other things, court decision, or third party designation.

Distinguish sales from barter (property for property) and contracts for work (specially manufactured items). In mixed exchanges, compare values - if money exceeds property value, it's a sale.

Natural elements are automatically included unless excluded: warranties against eviction (losing the property to someone with better rights), hidden defects (undisclosed problems), unregistered encumbrances, and merchantability (reasonable quality).

Seller's Obligations and Delivery

Sellers must deliver the object, warrant it, transfer ownership, and take proper care until delivery. Delivery can be actual (physical handover) or constructive (through legal formalities, symbolic acts, or document transfers).

Warranties protect buyers in two ways. Express warranties come from specific promises. Implied warranties are automatic: protection against eviction (unless waived), hidden defects (especially in animals), merchantability (reasonable quality), and fitness for purpose (if specified).

For animal sales, special rules apply. Contagious diseases void the sale completely. Other diseases void sales only if animals die within 3 days from pre-existing conditions. Buyers get 40 days to choose between canceling the sale or reducing the price for defective animals.

Delivery obligations depend on agreements. If more is delivered than agreed, buyers can accept all, accept only what's stipulated, or accept all while paying proportional prices. If less is delivered, buyers can generally reject partial delivery unless stipulated otherwise.

Buyer Beware: Warranties don't apply to animals bought at public auctions, fairs, or livestock sales - inspect carefully before buying!

Buyer's Obligations and Special Sales

Buyers must pay the agreed price according to the terms. Installment sales have special protections depending on whether you're buying personal or real property.

The Recto Law governs personal property installments. If you default on one installment, sellers can only demand full payment. Default on two or more gives sellers three choices: demand payment (losing foreclosure rights), cancel and return everything, or foreclose the mortgage.

The Maceda Law protects residential real estate buyers. You get grace periods (60 days if paying less than 2 years, one month per year if longer) and refund rights if sellers cancel (50% after 2 years, plus 5% yearly, maximum 90%).

Redemption rights let original owners buy back property. Conventional redemption (pacto de retro) allows repurchase within agreed periods (maximum 10 years). Legal redemption gives co-owners and adjacent landowners priority purchase rights.

Unpaid Sellers and Final Provisions

Unpaid sellers get special rights when buyers don't pay or become insolvent. Stoppage in transit lets sellers reclaim goods while they're still with carriers. Possessory lien means keeping goods until payment. Right of resale applies to perishable goods or when expressly reserved.

Documents of title like warehouse receipts and bills of lading represent ownership of goods. Negotiable versions can be assigned to others, while non-negotiable ones can't. These documents make trading goods easier without physical delivery.

Different sale types serve different purposes. Sale or return transfers ownership immediately, letting buyers return unsold items. Sale on trial only transfers ownership when buyers approve or keep goods without rejecting them.

Understanding when goods are "in transit" matters for unpaid sellers' rights. Transit ends when buyers get delivery, carriers acknowledge holding goods for buyers, or carriers wrongfully refuse delivery.
