Ključni pojmi, ki jih moraš poznati
Preden se podvozimo v različne oblike podjetij, si povej nekaj osnovnih pojmov, ki ti bodo pomagali razumeti celotno sliko.
Fizična oseba si ti, jaz in vsi ostali posamezniki. Ko nekdo postane samostojni podjetnik, je še vedno fizična oseba, ki pa na trgu opravlja neko dejavnost. Nasprotno pa je pravna oseba umetna tvorba - nekakšna organizacija, ki ji zakon omogoča, da ima pravice in obveznosti ločeno od svojih lastnikov.
Naslednji pomemben pojem je odgovornost. Pri neomejeni odgovornosti lastnik za dolgove podjetja odgovarja z vsem svojim osebnim premoženjem - torej s hišo, avtom, prihranki, vse skupaj. Pri omejeni odgovornosti pa tvega le tisto, kar je vložil v podjetje.
💡 Pomni: Neomejena odgovornost pomeni, da lahko zaradi poslovnih dolgov izgubiš tudi osebno premoženje!
Ustanovni kapital je znesek denarja, ki ga moraš vložiti ob ustanovitvi nekaterih oblik podjetij. Ta denar ni izgubljen - postane premoženje podjetja in ga lahko uporabljate za poslovanje.
Samostojni podjetnik posameznik (s.p.)
S.p. je kot tista najlažja stopnja v podjetništvu - idealna za začetek, a ima svoje pasti.
Glavne značilnosti: Kot s.p. si fizična oseba, ki samostojno opravljaš dejavnost. Ti in tvoje podjetje sta praktično isto. Zato imaš neomejeno odgovornost - če gredo posli slabo, lahko upniki zahtevajo plačilo iz tvojega osebnega premoženja. To je največje tveganje!
Prednosti: Ustanovitev je hitra in brezplačna, ustanovni kapital ni potreben, vodenje je enostavno. Tvoja firma mora vsebovati tvoje ime in priimek ter oznako "s.p." - na primer "Janez Novak s.p., slikopleskarstvo".
Za koga je primeren: Za manjše dejavnosti z manjšim tveganjem, kot so obrtniki (frizer, mizar), svetovalci ali če želiš začeti s popoldansko dejavnostjo.
⚠️ Pozor: Če s.p. ne more plačati dobaviteljev, lahko ti zahtevajo plačilo iz tvojega osebnega premoženja - tudi iz hiše ali avtomobila!
Družba z omejeno odgovornostjo (d.o.o.)
D.o.o. je najpriljubljejna oblika podjetja v Sloveniji, saj ponuja odlično ravnovesje med varnostjo in enostavnostjo.
Glavne značilnosti: D.o.o. je pravna oseba, ločena od lastnikov (družbenikov). To pomeni omejeno odgovornost - za dolgove družbe ne odgovarjaš s svojim osebnim premoženjem, temveč tvegaš le tisto, kar si vložil v podjetje.
Ustanovni kapital: Potrebuješ najmanj 7.500 evrov osnovnega kapitala. Pozor - ta denar ni strošek! Družba ga lahko takoj po ustanovitvi uporabi za plačilo računov, nakup opreme ali zalog.
Vodenje: Bolj zapleteno kot pri s.p., potrebno je dvostavno knjigovodstvo. Odločitve sprejema poslovodja (direktor) ali skupščina družbenikov. Firma mora vsebovati oznako "d.o.o." - na primer "Mizarstvo Hrast d.o.o.".
💰 Prednost: Če podjetje propade, ne izgubiš svojega stanovanja ali avtomobila - tvegaš le vloženi kapital.
Primernost: Za večino malih in srednje velikih podjetij, ki imajo večje prihodke in tveganja.
Delniška družba (d.d.)
D.d. je oblika za velika podjetja, ki potrebujejo veliko kapitala in so pripravljena na kompleksno upravljanje.
Glavne značilnosti: Lastniki so delničarji, ki imajo delnice - te predstavljajo delež v osnovnem kapitalu družbe. Tudi tu velja omejena odgovornost - delničarji tvegajo le vrednost svojih delnic.
Ustanovni kapital: Potrebuješ najmanj 25.000 evrov osnovnega kapitala. Vodenje je zelo kompleksno s tremi glavnimi organi: skupščina (vsi delničarji), nadzorni svet (nadzira upravo) in uprava (vodi tekoče posle).
Primernost: Za velika podjetja, ki potrebujejo veliko kapitala in ga zbirajo z izdajo delnic na borzi. Misli na podjetja kot so Krka d.d. ali Mercator d.d.
📈 Zanimivost: Delnice d.d. se lahko prodajajo na borzi, kar omogoča zbiranje velikih vsot kapitala od množice vlagateljev.
Vodenje zahteva dvostavno knjigovodstvo in strokovne kadre za upravljanje vseh organov družbe.
Praktični primeri iz resničnega življenja
Poglejmo si dva primera, ki ti bosta pomagala razumeti, kdaj izbrati katero obliko.
Primer 1 - Frizerski salon: Ana želi odpreti majhen frizerski salon. Delala bo sama, nima veliko prihrankov, začetni stroški so nizki. Najboljša izbira je s.p., ker ne potrebuje ustanovnega kapitala, postopek je hiter in poceni. Tveganje ni ekstremno visoko, čeprav mora biti pozorna na neomejeno odgovornost.
Primer 2 - IT podjetje: Jure in Miha sta razvila mobilno aplikacijo, potrebujeta 20.000 evrov za razvoj, želita zaščititi osebno premoženje. Zanju je veliko boljša d.o.o., ker jim omejena odgovornost zagotavlja varnost osebnega premoženja, ustanovni kapital lahko takoj uporabita za poslovanje, lažje je tudi spreminjati lastniško strukturo.

I think it’s very much worth it and you’ll end up using it a lot once you get the hang of it and even after looking at others notes you can still ask your Artificial intelligence buddy the question and ask to simplify it if you still don’t get it!!! This is not an ai review or anything this is genuinely coming from a 7th grade student (I know 2011 im young) but dude this app is a 10/10 i have maintained a 3.8 gpa and have plenty of time for gaming. I found this app a couple years ago and it has only gotten better since then. I really love it because it can help with written questions and photo questions. Also, it can find study guides that other people have made as well as flashcard sets and practice tests. The free version is also amazing for students who might not be able to afford it. Would 100% recommend

This app is phenomenal down to the correct info and the various topics you can study! I greatly recommend it for people who struggle with procrastination and those who need homework help. It has been perfectly accurate for world 1 history as far as I’ve seen! Geometry too!

I think it’s very much worth it and you’ll end up using it a lot once you get the hang of it and even after looking at others notes you can still ask your Artificial intelligence buddy the question and ask to simplify it if you still don’t get it!!! Knowunity is the BEST app I’ve used in a minute. This is not an ai review or anything this is genuinely coming from a 7th grade student (I know 2011 im young) but dude this app is a 10/10 i have maintained a 3.8 gpa and have plenty of time for gaming. I love it and my mom is just happy I got good grades
